Questions every business owner should ask

Clear answers on GST, Private Limited Company and LLP registration and compliance — before you file.

GST

Registration, returns & input tax credit

In most states, including Maharashtra, registration is mandatory once your aggregate turnover crosses ₹40 lakh for goods or ₹20 lakh for services in a financial year. It is required from day one, regardless of turnover, if you make inter-state supplies of goods, sell through e-commerce marketplaces, or fall under reverse charge.

PAN of the entity, Certificate of Incorporation (company) or LLP Agreement, PAN, Aadhaar and photos of directors/partners, proof of business address (electricity bill plus rent agreement or NOC), bank account proof, and a board resolution or authorisation letter for the authorised signatory.

With Aadhaar authentication and complete documents, a GSTIN is usually issued within about 7 – 15 working days. It can take longer if the GST officer raises a query or orders physical verification of your premises.

Regular taxpayers file GSTR-1 (sales) by the 11th and GSTR-3B (summary and tax payment) by the 20th of the following month. Businesses with turnover up to ₹5 crore can opt for quarterly filing under the QRMP scheme. An annual return (GSTR-9) is also due by 31 December, where applicable.

A late fee of ₹50 per day (₹20 per day for nil returns) applies, subject to caps, plus 18% annual interest on any unpaid tax. Delayed filing also blocks your customers from claiming input tax credit and can lead to suspension or cancellation of your GSTIN.

Private Limited Company

Incorporation & annual compliance

At least 2 directors (one must be resident in India), at least 2 shareholders (directors can also be shareholders), a registered office address in India and a unique company name. There is no minimum paid-up capital requirement.

PAN and Aadhaar, a recent passport-size photo, address proof (bank statement or utility bill), and for the registered office: a utility bill plus rent agreement or NOC from the owner. Digital Signature Certificates (DSC) are obtained for the directors during the process.

Typically 7–15 working days through the MCA SPICe+ form, which covers name approval, incorporation, PAN, TAN and the bank account application together. Timelines depend on name availability and MCA processing.

Appointing the first statutory auditor within 30 days, filing the commencement of business declaration (INC-20A) within 180 days, holding board meetings and an AGM, filing financial statements (AOC-4) and the annual return (MGT-7/7A) with the ROC, directors’ KYC, and filing the income tax return. A statutory audit is mandatory every year, whatever the turnover.

Choose a Private Limited Company if you plan to raise equity from investors, issue ESOPs or scale quickly — it offers the most credibility with banks and investors. An LLP suits professional firms and smaller businesses that want limited liability with lower compliance. We can help you compare tax and compliance costs for your case.

LLP

Limited Liability Partnership

At least 2 designated partners (one must be resident in India), a registered office address in India, and a unique LLP name. There is no minimum capital contribution. An LLP Agreement defining partners’ rights and profit-sharing must be filed with the MCA within 30 days of incorporation.

An LLP is a separate legal entity, so partners’ liability is limited to their agreed contribution and personal assets are protected. A traditional partnership firm has unlimited liability. An LLP can also own property and sue or be sued in its own name.

Form 11 (annual return) by 30 May, Form 8 (statement of accounts and solvency) by 30 October, the income tax return, and annual KYC for designated partners. Late filing of MCA forms attracts a penalty of ₹100 per day per form, with no upper cap.

Only if its turnover exceeds ₹40 lakh or partners’ contribution exceeds ₹25 lakh in a financial year. Below these limits, accounts are certified by the designated partners — one of the main reasons LLPs have lower compliance costs.

An LLP is taxed at a flat 30% on its profits, plus applicable surcharge and cess. Profit share received by partners is tax-free in their hands, and there is no dividend tax. Interest and remuneration paid to partners are deductible within prescribed limits.

GST FAQs

GST registration — questions clients ask us

Quick answers to what most businesses want to know before applying for GST.

You must register once your aggregate turnover crosses ₹40 lakh for goods or ₹20 lakh for services in a financial year (lower limits apply in special category states). Some businesses must register regardless of turnover — for example, inter-state sellers of goods, most sellers on e-commerce marketplaces, casual taxable persons and businesses liable under reverse charge.

  • PAN of the business (and of the proprietor, partners or directors)
  • Aadhaar and a photograph of the proprietor / partners / directors
  • Proof of business address — electricity bill or property tax receipt, plus rent agreement and owner’s NOC if the premises are rented
  • Bank proof — cancelled cheque or bank statement
  • Constitution proof — partnership deed, LLP agreement or certificate of incorporation, as applicable
  • Authorisation letter or board resolution for the authorised signatory

No. The government does not charge any fee for GST registration. Our professional fee covers checking your documents, filing the application and handling any queries from the department until your GSTIN is issued.

Yes. Voluntary registration lets you claim input tax credit, work with larger B2B clients who prefer GST-registered vendors, and sell on online marketplaces. Keep in mind that once registered, you must file returns regularly — even if there is no business in a period.

Yes. A residential address can be registered as your principal place of business. You will need ownership proof (such as an electricity bill or property tax receipt), or a rent agreement along with a no-objection certificate from the owner.

GST registration is state-wise. If you supply from more than one state, you need a separate GSTIN in each of those states. Additional offices or godowns within the same state can usually be added to your existing registration.

The composition scheme is meant for small businesses with turnover up to ₹1.5 crore (₹75 lakh in special category states). You pay tax at a low fixed rate and file fewer returns, but you cannot claim input tax credit, cannot charge GST on your invoices and cannot make inter-state sales of goods. Whether it suits you depends on your margins and customers — we help you decide.

Regular taxpayers file GSTR-1 (sales) and GSTR-3B (summary and tax payment) — monthly, or quarterly under the QRMP scheme if turnover is up to ₹5 crore — plus an annual return where applicable. Composition dealers file CMP-08 quarterly and GSTR-4 annually. Missing returns attracts late fees and interest, so we track these deadlines for our clients.

Not registering when required can lead to a penalty of 10% of the tax due (minimum ₹10,000), and up to 100% in cases of deliberate evasion — along with the tax and interest itself. You also lose the ability to collect GST and claim input tax credit, which can hurt business with registered clients.

Yes. If you close the business, transfer it, or are no longer required to be registered, you can apply for cancellation online. After cancellation, a final return (GSTR-10) has to be filed. We take care of the full process, including clearing pending returns.
